BTG Sells Government Reselling Business to GTSI

In order to refocus on its services and integration business, BTG (Fairfax, VA) has agreed to sell its government reselling division to

Government Technology Services (GTSI, Chantilly, VA), for 3 million shares of GTSI common stock and $8 million cash. BTG will also receive one seat on GTSI's board of directors, with a second seat subject to mutual approval. The division resells computer hardware, software and integration systems to the federal government. The sale is still subject to approval from GTSI shareholders. The deal allows BTG to focus on its services and integration business and obtain commercial off-the-shelf (COTS) products from GTSI, which with this deal strengthens its federal government reseller channel. "Shareholders, customers, and suppliers will benefit from the size and focus of the two companies," said BTG president and CEO Dr. Edward Bersoff.
